Terms of Service

1. The Platform — Marketplace Only

SetStay operates an online marketplace ("Platform") that allows production coordinators ("Coordinators") to discover and book lodging from independent homeowners, short-term-rental hosts, and hotels ("Hosts"), and to engage independent service providers ("Vendors"). SetStay is not a party to any agreement formed between Coordinators, Hosts, or Vendors and is not a real-estate broker, travel agent, lodging provider, transportation carrier, food-service operator, employer, talent agency, payroll company, tax advisor, or insurer. Hosts and Vendors are independent contractors of the Coordinator or production, never of SetStay.

2. Eligibility & Account

You must be 18+, legally able to contract, and provide accurate registration information. You are responsible for safeguarding your credentials, including any biometric unlock enrolled on a personal device. You agree SetStay may suspend or terminate any account at its sole discretion, with or without notice, for suspected fraud, misrepresentation, chargebacks, or breach of these Terms.

3. Listings, Bookings & Payment

Hosts set their own rates, availability, and house rules. Coordinators are responsible for inspecting any property and confirming local short-term-rental, zoning, and occupancy compliance prior to arrival. SetStay charges a Platform Coordination Fee on lodging subtotals and a monthly Host Pro / Vendor subscription; all fees are non-refundable except where required by law. Payment processing is provided by Stripe and subject to Stripe's terms.

4. Tax Incentives — No Advice

All tax credit, rebate, and bed-tax exemption calculations are illustrative projections derived from publicly available state film-incentive program data. They are not tax, legal, accounting, or financial advice. Eligibility requires application to and approval by the relevant state film office. You agree to consult a licensed CPA or tax attorney before relying on any figure displayed on the Platform.

5. The "Tax-Verified" Badge — Explicit Disclaimer

The "Tax-Verified" badge means only that a Host has uploaded one or more documents to the Platform's document vault (e.g. residency proof, EIN/SSN, state film-office paperwork) and maintains an active Host Pro subscription. It does not mean SetStay has independently audited, authenticated, or guaranteed those documents, the Host's residency, the Host's eligibility for any state film tax credit, or the accuracy of any information the Host provided. SetStay performs only a commercially reasonable visual review for obvious defects (e.g. missing pages, expired dates) and makes no representation or warranty as to the document's authenticity, the Host's tax status, or any production's qualification for incentives. Coordinators and productions must independently verify all residency, EIN, and incentive-eligibility claims directly with the relevant state film office, the Host's CPA, or other qualified professional before relying on them. SetStay disclaims all liability for any denied tax credit, lost rebate, recapture, penalty, interest, or other loss arising from a Host's misrepresentation, an inaccurate uploaded document, or a Coordinator's reliance on the badge.

6. Vendor Compliance

Vendors self-attest to current general liability insurance, business licensing, and (where applicable) DOT/MC authority, food-handler permits, and bonding. SetStay reviews uploaded documents to a commercially reasonable standard and does not guarantee accuracy, currency, or fitness. Coordinators must confirm coverage directly with the Vendor — including requesting a current Certificate of Insurance naming the production as additional insured — prior to engagement.

7. Service Disputes Between Users

Any dispute regarding the condition of a property, cancellation, no-show, damage, theft, vendor performance, late payment, or any other aspect of a transaction between a Coordinator and a Host or Vendor is solely between those users. SetStay is not obligated to investigate, mediate, arbitrate, refund, charge back, or otherwise resolve any such dispute, and disclaims all liability for the outcome. SetStay may, at its sole discretion and without obligation, provide non-binding facilitation, share transaction records, or escalate to its payment processor's standard chargeback procedures. Users agree to attempt good-faith resolution directly before contacting SetStay. Any refund issued by SetStay is a courtesy, not an admission of liability, and does not waive these Terms.

8. Assumption of Risk & Release

Lodging, transport, catering, and on-set cleaning carry inherent risks of personal injury, property damage, theft, illness, foodborne illness, and contractual breach. To the maximum extent permitted by law, you assume all such risks and release SetStay, its officers, directors, employees, agents, contractors, and affiliates from any claim arising from any third-party listing, service, document, or interaction occurring on or through the Platform.

9. Indemnification

You agree to defend, indemnify, and hold harmless SetStay, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, damages, liabilities, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of or conduct on the Platform; (b) your breach of these Terms; (c) your violation of any law, regulation, or third-party right; (d) any content, document, listing, or representation you upload, post, or provide (including, for Hosts, any tax-credit eligibility, residency, EIN, or compliance documents, and any denied tax credit, recapture, penalty, or other loss suffered by a Coordinator or production relying on them); (e) any service you provide as a Host or Vendor; (f) any property damage, personal injury, or theft occurring at your property or in connection with your services; and (g) your tax obligations (income, sales, lodging, occupancy, or otherwise). This obligation survives termination of these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, SetStay's aggregate liability for any and all claims arising out of or related to the Platform or these Terms is limited to the greater of (a) fees you paid SetStay in the twelve (12) months preceding the event giving rise to the claim or (b) USD $100. SetStay is not liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, lost profits, lost revenue, lost data, lost tax credits or rebates, business interruption, or loss of goodwill, even if advised of the possibility of such damages. The limitations in this section apply regardless of the legal theory (contract, tort, statute, or otherwise) and survive termination.

11. Binding Arbitration & Class-Action Waiver

Any dispute with SetStay shall be resolved by individual binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in your state of residence. You waive any right to a jury trial and to participate in any class, collective, representative, or consolidated action. Either party may seek injunctive relief in a court of competent jurisdiction for intellectual-property or confidentiality matters. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@setstay.com.

12. Governing Law & Severability

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. If any provision is held unenforceable, the remainder remains in full force and effect.

13. Changes

SetStay may update these Terms at any time; continued use of the Platform after notice constitutes acceptance. Material changes will be communicated by email or in-app notice.
